The next SpaceX (SPCX) lockup release is Saturday, October 24, 2026, so the first day to trade those shares is Monday, October 26. Before that day, decide how many shares to sell this year, how many to hold into next year, and which lots go first.

The dates, from the prospectus
The table below copies the schedule in the final prospectus (Form 424B4, dated June 11, 2026), section "Shares Eligible for Future Sale." Each count says "up to." Eligible does not mean sold. The counts leave out affiliates unless the row says otherwise, and assume no option exercises or RSU settlements after March 31, 2026.

Notes:
- The prospectus ties this release to "the second full trading day ... following" the first earnings release. SpaceX released Q2 results on August 4, 2026 (Form 8-K, Item 2.02). August 6 is the second full trading day after that if the release came after the market closed. The filing does not state the time of day.
- No filing sets the Q3 results date yet. Watch for an 8-K with Item 2.02. The release falls two full trading days after it.
- An extra 455.8M shares could release in August only if SPCX closed at least 30% above the $135.00 IPO price on five of the ten trading days ending on the Q2 release date. No filing found so far says whether that test was met. December 8 releases 797.6M shares.
Your own shares may follow a different rule. The prospectus says other holders are bound by "a variety of other terms" for 180 days, with timed releases. Check your own lockup or market standoff letter and your broker before you plan a trade.
What to decide before each date
Write these four answers down before the window opens, not on the day.
- How many shares this calendar year, how many next. A sale in October or December lands on this year's return, on top of wages and vest income already booked. A sale on January 2 lands on next year's.
- Which lots go first. Each vest is its own lot, with its own basis and its own holding period. See Which lots to sell first.
- How much of one stock you still want on December 31. Write it as a share count, not a feeling.
- What happens if the price drops before you sell. Pick the price or date at which you will act anyway.
Example (made-up numbers)
Example only. Not a real person and not a Lakefolio result.
Casey holds 6,000 SPCX shares across three lots. Wages this year are $210,000. Casey can sell some shares on October 26 and more after the Q3 release.
| Lot | Shares | Holding period | Plan |
|---|---|---|---|
| A | 2,000 | Turns long-term in March 2027 | Hold to 2027 |
| B | 2,500 | Short-term all year | Sell 1,000 on Oct 26 |
| C | 1,500 | Short-term all year | Sell 500 after Q3 release |
| Total | 6,000 | Sell 1,500 in 2026; decide the rest in January |
Casey made three choices: a share count for 2026, a lot order, and a date to look again. The unlock date did none of that.
FAQ
Does an unlock mean the price will drop?
No one can say. An unlock lets holders sell. It does not tell you how many will.
Is Oct 24 or Oct 26 the date that counts?
The prospectus names October 24, 2026, a Saturday. Markets are closed, so the first trading day is Monday, October 26.
When is the Q3 release?
No filing has set it yet. When SpaceX files an 8-K with its Q3 results, count two full trading days after it.
Do these dates apply to my RSUs?
Maybe not. Your shares may sit under a different agreement. Ask your stock plan administrator or read your own lockup terms.
Is withholding at vest the tax I owe?
No. Federal supplemental withholding is 22%, or 37% on supplemental wages over $1 million in a year (IRS Pub. 15). That is a withholding rate, not your tax rate.
